Terms of Service
Last updated September 26, 2026 · Governed by the laws of the Federal Republic of Nigeria
1. Acceptance
These Terms govern access to and use of Wakefield — the platform through which a business (“you”, “the Business”) configures and operates AI agents that handle customer messaging, sales outreach, order and payment reconciliation, and related operational tasks on its behalf. By creating an account or using the Service you agree to these Terms on behalf of yourself and, where applicable, the business you represent.
2. The Service
Wakefield lets a Business describe itself, have Wakefield draft one or more AI agents scoped to real departments and a fixed set of real actions (checking inventory, confirming payments, creating orders, requesting dispatch, and others as Wakefield adds them), and reach customers over WhatsApp, Instagram, email, and Wakefield's own “Room” interface. Agents reason over conversation history and the Business's own configured policy — they are software producing AI-generated output, not human staff.
3. Your account
You must provide accurate information when creating an account and keep your credentials secure. You're responsible for activity that happens under your account and for the accounts of any team members you invite. You must be lawfully able to bind the business you're signing up on behalf of.
4. Your responsibilities
You're responsible for: the accuracy of the business information, policies, and pricing you give Wakefield to draft agent behavior from; complying with the terms of any channel you connect (in particular Meta's WhatsApp Business and Instagram policies); making sure you have a lawful basis to have your customers' messages processed by Wakefield on your behalf (see Privacy Policy §1); and reviewing the autonomy and approval settings described in §5 before enabling them for anything consequential.
5. AI agents & autonomy
Each action an agent can take is staged — assisted (a human on your team approves before it runs) or bounded (it runs automatically within limits you set). You choose the staging per action, and you can layer additional approval rules (for example, a payment above a threshold you set) on top. Wakefield executes exactly what your configuration and the model's output produce; it does not silently escalate an assisted action to bounded or bypass a rule you've set.
AI output can be wrong. A reply, an extracted amount, or a routing decision may be inaccurate even when an action is staged bounded. You're responsible for setting staging and approval rules appropriate to your own risk tolerance, and for the consequences of an action an agent takes within the autonomy you granted it.
6. Connections to other services
You may connect third-party services — payment gateways, commerce and accounting platforms, WhatsApp, and others Wakefield supports — so agents can act on real data. Wakefield stores the credentials needed for those connections encrypted at rest and uses them only to operate the Service on your instruction. You can disconnect a service at any time. Wakefield doesn't control and isn't responsible for the availability, accuracy, or policies of a third-party service you connect.
7. Credits & billing
Usage is metered in credits, consumed as agents reason and act. New accounts receive a trial credit grant sized to typical early usage. Beyond trial, you purchase credits or subscribe to a plan as described at checkout; billing is processed by our payment provider, and prices may change with notice before your next billing cycle. Credits already consumed are not refundable except where required by law; unused, unexpired balances follow the refund terms shown at time of purchase.
8. Data about your customers
When your agents handle a message from one of your customers, Wakefield processes that conversation as your processor — on your instructions, for your business — not as the owner of that relationship. You remain responsible for your own obligations to your customers, including any notice or consent your customers are owed under applicable law. Details of what's processed and how are in the Privacy Policy.
9. Intellectual property
Wakefield and its licensors own the platform, including the software, model orchestration, and Wakefield's own trademarks. You own your business content — your product catalog, policies, and the data your customers send you. You grant Wakefield the right to process that content solely to operate the Service for you.
10. Availability
We aim to keep the Service reliably available but don't guarantee uninterrupted access. We don't currently offer formal service-level commitments; these may be introduced for specific plan tiers in the future.
11. Suspension & termination
We may suspend or terminate access for a material breach of these Terms, non-payment, use that violates a connected channel's own policies (in particular Meta's), or use that creates real legal or security risk. You may stop using the Service and close your account at any time; §7's billing terms still apply to charges already incurred.
12. Disclaimers & limitation of liability
The Service, including all AI-generated output, is provided “as is” without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Wakefield's total liability arising from these Terms is limited to the fees you paid Wakefield in the twelve (12) months preceding the claim, and Wakefield is not liable for indirect, incidental, or consequential damages.
13. Indemnification
You agree to indemnify Wakefield against claims arising from your use of the Service in violation of these Terms, your business content, or your own violation of a law or a third party's rights.
14. Governing law & disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, and any dispute arising from them will be resolved in the courts of Lagos State, Nigeria.
15. Changes to these Terms
We may update these Terms as the Service changes. We'll give notice of a material change before it takes effect; continued use after that date means you accept the update.
